Terms and Conditions Agreement

1. Introduction & Acceptance

Welcome to BlockInsight Hub, a software-as-a-service (SaaS) platform operated by Adnoick Solutions LLC (“Company,” “we,” “us,” or “our”).

By accessing or using our website, software platform, AI-powered tools, digital products, or related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”).

If you do not agree to these Terms, you may not access or use the Services.

We reserve the right to modify these Terms at any time. Continued use of the Services after updates constitutes acceptance of the revised Terms.

2. Description of Services

BlockInsight Hub provides AI-powered marketing tools and related educational services for real estate professionals and investors, including but not limited to:

  • AI-generated real estate marketing kits

  • Listing content automation tools

  • Campaign dashboards and downloadable materials

  • Credit-based content generation systems

  • Subscription-based access to platform features

  • Educational resources related to blockchain and real estate

Services are provided digitally and may evolve over time.

We do not guarantee uninterrupted availability or specific performance outcomes.

3. User Accounts

To access certain features, you must create an account.

You agree to:

  • Provide accurate and complete information

  • Maintain the security of your login credentials

  • Notify us immediately of unauthorized use

  • Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts for violations of these Terms.

4. AI-Generated Content & User Responsibility

BlockInsight Hub provides AI-generated marketing content intended for professional use.

All content is generated using best-effort professional standards; however:

  • We do not guarantee legal compliance.

  • We do not certify adherence to Fair Housing, MLS, NAR, or other regulatory requirements.

  • We do not provide legal advice.

Users are solely responsible for reviewing, editing, verifying accuracy, and ensuring compliance with all local, state, and federal laws before publishing or distributing any content.

Content is provided “as is.”

5. No Financial, Legal, or Tax Advice

Nothing within the Services constitutes financial, investment, legal, tax, or regulatory advice.

Educational materials and marketing outputs are for informational purposes only.

Users should consult licensed professionals before making financial or legal decisions.

6. Credits, Subscriptions & Billing

6.1 Credit System

Certain features operate on a credit-based system.

  • Credits may be purchased individually or included in subscription plans.

  • Credits may expire or be subject to rollover limits.

  • Credits have no cash value and are non-transferable.

We reserve the right to modify credit structures with reasonable notice.

6.2 Subscriptions

Subscription plans may include recurring billing.

By subscribing, you authorize recurring charges through our third-party payment processor.

You are responsible for:

  • Maintaining valid payment information

  • Canceling subscriptions prior to renewal if desired

Failure to cancel before renewal may result in automatic billing.

6.3 Payment Processing

Payments are processed via third-party providers (e.g., Stripe).

We are not responsible for:

  • Payment processor outages

  • Banking errors

  • Fraudulent third-party activity

6.4 Refund Policy

Due to the digital nature of the Services:

  • Purchases of credits, subscriptions, and digital products are generally non-refundable.

  • Refunds may be issued at our sole discretion in cases of verified technical failure.

7. Intellectual Property & License

All software, systems, prompts, templates, workflows, branding, and platform design are the exclusive property of Adnoick Solutions LLC.

You are granted a limited, non-exclusive, non-transferable license to use generated content for your professional marketing purposes.

You may not:

  • Reverse engineer the platform

  • Resell access to the system

  • Reproduce proprietary templates

  • Build competing systems using our outputs

  • Share login credentials

Ownership of generated marketing content transfers to the user upon lawful generation, subject to these Terms.

8. Acceptable Use

You agree not to:

  • Use the Services for unlawful purposes

  • Attempt to bypass credit or billing mechanisms

  • Access unauthorized system areas

  • Interfere with platform functionality

  • Submit misleading or fraudulent information

We reserve the right to suspend or terminate accounts for misuse.

9. Confidentiality & Data

We take reasonable steps to protect user data; however:

  • We do not guarantee absolute security.

  • You should not submit highly sensitive personal or confidential data.

Users are responsible for ensuring they have authority to input listing information into the system.

10. Platform Availability

We strive for reliable service but do not guarantee:

  • Continuous uptime

  • Error-free performance

  • Compatibility with all devices

We may perform maintenance, updates, or feature changes at any time.

11. Limitation of Liability

To the fullest extent permitted by law, Adnoick Solutions LLC shall not be liable for:

  • Loss of profits or revenue

  • Marketing errors or omissions

  • Regulatory violations arising from user publication

  • Fair Housing or MLS infractions

  • Investment losses

  • Third-party service failures

  • Data loss

  • Indirect or consequential damages

Your use of the Services is at your own risk.

Total liability shall not exceed the amount paid by you to the Company in the preceding 12 months.

12. Indemnification

You agree to indemnify, defend, and hold harmless Adnoick Solutions LLC and its representatives from any claims, damages, losses, or legal expenses arising from:

  • Your use of the Services

  • Your violation of these Terms

  • Your publication of AI-generated content

  • Regulatory or compliance disputes

13. Termination

We may suspend or terminate access at our discretion for:

  • Violations of these Terms

  • Fraudulent activity

  • Abuse of the platform

Upon termination, access to the Services may cease immediately.

14. Governing Law

These Terms are governed by the laws of the State of New Mexico, United States.

All disputes shall be resolved exclusively in courts located in Bernalillo County, New Mexico.
